EULA - End User License Agreement

END-USER LICENSE AGREEMENT for Sauver or Sauver Professional backup software ("The Software").

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and InnerSystem Software Ltd ("INNERSYSTEM") for the INNERSYSTEM software referenced in the EULA, which includes the computer software and may include associated media, printed materials, graphics, "online" or electronic documentation, and internet-based services.
You agree to be bound by the terms of the EULA by installing or otherwise using the software. If you do not agree with the terms of this EULA, do not install, copy, or use the software.

GRANTS OF LICENSE
INNERSYSTEM grants to you the rights described in the EULA provided you comply with all the terms and conditions of this EULA.

GENERAL LICENSE GRANT
INNERSYSTEM grants to you a personal, nonexclusive license to use the software and to use multiple separately licensed and registered copies of the software within your organization.

BACKUP COPIES
You may make as many backup copies of as many versions of the installation program as desired. The installation program is defined as the file or files available for download on the INNERSYSTEM web site for installation of the software. These installation files may not be modified in any way.

NETWORK USE
A single license for this software may not be shared or used concurrently by multiple end users.

RIGHTS OF OWNERSHIP
INNERSYSTEM reserves all rights not expressly granted to you in this EULA. The software is protected by copyright and other intellectual property laws. INNERSYSTEM owns the title, copyright, and other intellectual property rights in the software. This software is licensed, not sold.

LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY.
You may not reverse engineer, decompile, or disassemble the software. You may not modify the software in any way.

RENTAL OR RESALE
The granted license is non-transferable. You may not rent, lease, resell, or lend the software without explicit permission by INNERSYSTEM.

UPGRADES
The license grants you certain rights to upgrade the software as defined on the INNERSYSTEM website. After installing an upgrade, you may no longer use the earlier version unless you uninstall the upgrade.

DEMONSTRATION VERSION
The software is sold as shareware. The demonstration version of the software is provided for evaluation purposes only. You are limited to an evaluation period of 30 days. At the end of that time, you must either purchase one or more licenses, or remove the software from your system(s).
As described below under "WARRANTIES", the evaluation period allows you to determine fitness and suitability of the product before committing to purchase. It is your responsibility to ensure that the product meets your needs and operates properly in your environment before purchasing any licenses.

WARRANTIES AND LIABILITY
The software is licensed "as is" and without warranties as to performance or merchantability of product, or any other warranties whether expressed or implied.
Because of the various hardware and software environments in which the software may be installed and used, no warranty of fitness for a particular purpose is offered.
INNERSYSTEM makes reasonable efforts to ensure that errors and bugs are minimized. However, it is mathematically impossible to produce bug-free software of any complexity; therefore INNERSYSTEM does not represent that the software is error-free, will operate in an uninterrupted manner, is completely secure, or will interoperate with third-party software or services.
Good data processing procedure dictates that any program be thoroughly tested with non-critical data before relying on it. Because INNERSYSTEM has no control whatsoever over this testing, the user must assume all responsibilities and accompanying risks of using the software.
ANY LIABILITY OF THE VENDOR WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF PURCHASE, AT VENDOR'S SOLE OPTION.

EXCLUSION OF DAMAGES AND LIMITATION OF LIABILITY
To the maximum extent permitted by law, neither INNERSYSTEM not any of its directors, officers, employees, controlled or controlling entities, licensors, or distributors will have any liability to you or any end users for direct, indirect, incidental, special, consequential, or punitive damages (including, without limitation, any loss of use, lost profits, business or revenue, loss of goodwill or other economic advantage, or loss of privacy) arising out of or related to the EULA or the software, even if INNERSYSTEM or a released party has been advised of, or knew or should have known of, the possibility of such damages.

EXPORT RESTRICTIONS
You agree to comply with all applicable laws and regulations of applicable governmental bodies and agencies related to use of the software.
